END USER LICENSE AGREEMENT (EULA)

Effective Date: January 20, 2026

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and AI.ATTN.LIVE, INC. ("we," "us," or "our") governing your access to and use of the AI.ATTN.LIVE platform (the "Platform"), including any websites, applications, services, features, content, or materials provided therein (collectively, the "Services").

By accessing or using the Services, you agree to be bound by this EULA. If you do not agree, do not use the Services.

We may update this EULA from time to time. Continued use of the Services after changes constitutes your acceptance of the updated terms. We recommend reviewing this EULA periodically.

1. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, non-commercial purposes, or as otherwise permitted by us.

This license does not include any resale or commercial use of the Services unless explicitly authorized in writing.

2. User Accounts and Eligibility

You must create an account to access certain features.
You must provide accurate and up-to-date information.
You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
You must be at least 18 years old (or the age of majority in your jurisdiction).

We reserve the right to suspend or terminate accounts at our discretion.

3. Gamification, Attention Tokens, and Rewards

The Platform incorporates gamification features, including the ability to earn or purchase “Attention Tokens” (virtual in-app tokens) through activities, purchases, or participation in competitions, contests, events, or promotional activities ("Competitions").

3.1 Token License

Attention Tokens are virtual items licensed, not owned.
They have no cash value and are not redeemable for real money except where explicitly permitted.
Tokens are non-transferable, non-sellable, and Platform-only.
We may modify, suspend, or discontinue Tokens at any time without liability.

No property rights or monetary interest are granted.

3.2 Purchases

All purchases are final and non-refundable, except where required by law.
You authorize charges to your provided payment method.
Payments are processed by third-party providers.
Purchases are licenses only—no refunds for dissatisfaction, changes, or account issues unless legally required.

3.3 Rewards in Competitions

Rewards may include Attention Tokens or other virtual items.
Participation is voluntary and subject to specific event rules.
No guarantees are made regarding availability, odds, outcomes, or value.
Tokens may be revoked if obtained improperly or if your account is suspended or terminated.

3.4 Risks

Token value, availability, and utility may change.
No guarantee of liquidity, returns, or continued access.
We may suspend accounts, reverse transactions, or forfeit rewards for suspected abuse or violations.

3.5 Prohibited Actions

You may not use:

Bots or automation
Multiple accounts
Exploits, hacks, or manipulation
Unauthorized methods to earn or acquire Tokens

Violations may result in forfeiture and account termination.

4. AI Integrations

The Platform integrates third-party AI services, including:

OpenAI
Google Gemini
Grok (xAI)
Eleven Labs
Suno

Your use is subject to both this EULA and the applicable third-party terms.

4.1 AI Usage

AI-generated content (“Output”) is provided “as is” and may contain errors, bias, or inaccuracies. You are solely responsible for reviewing and using Outputs.

4.2 Restrictions

You may not use AI Services to:

Train or compete with AI models
Violate rights or laws
Generate harmful or abusive content
Circumvent safeguards

4.3 Data and Licensing

You grant us and AI providers a worldwide, royalty-free license to use inputs and Outputs for service provision, improvement, and compliance.

4.4 Liability

We are not liable for AI-generated Outputs. You agree to indemnify us against related claims.

5. Communications and User-Generated Content

5.1 User Conduct

You agree not to use the Services for:

Harassment or abuse
Spam or phishing
Illegal, defamatory, or infringing content
Impersonation or misinformation
Automated data collection

5.2 Moderation

We may monitor, remove, or edit content at our discretion. We do not endorse user-generated content.

5.3 Reporting

Report violations to: support@ai.attn.live

5.4 Indemnification

You agree to indemnify us from claims arising from your content or communications.

6. International Use and Compliance

The Services are operated from the United States and intended for international use, including the Philippines.

You agree to comply with:

Export control and sanctions laws
Data protection laws (e.g., PH Data Privacy Act of 2012)
Consumer protection laws (e.g., PH Internet Transactions Act of 2023)
Anti-money laundering laws

We may restrict access in certain jurisdictions.

COPYRIGHT POLICY

Reporting Claims of Copyright Infringement

AI.ATTN.LIVE, INC. does not monitor or endorse uploaded content. Users are responsible for compliance.

DMCA Notice Requirements

A valid notice must include:

Signature
Identification of copyrighted work
Identification of infringing material
Contact information
Good-faith statement
Accuracy statement under penalty of perjury

Counter-Notification Procedures

If content was removed in error, you may submit a counter notice including:

Good-Faith Requirement

False or misleading notices may result in legal liability under 17 U.S.C. § 512(f).

International Copyright Compliance

We comply with:

DMCA (U.S.)

Canada Copyright Modernization Act
Australia Copyright Amendment Act
Japan & South Korea copyright laws
UK Copyright & Online Safety laws

Repeat Infringers

We may terminate accounts of repeat infringers.

7. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID IN THE LAST 12 MONTHS.

8. Termination

We may terminate or suspend access at any time. Upon termination:

Your license ends
Tokens may be forfeited
Use must cease

9. Governing Law and Dispute Resolution

This EULA is governed by the laws of Delaware, USA. Disputes shall be resolved exclusively in Delaware courts.

10. Miscellaneous

This EULA is the entire agreement
Invalid provisions do not affect enforceability
No waiver implies future waiver
